Summary: | Nadzorni svet mora pri določitvi celotnih prejemkov posameznega člana uprave (plača, udeležbe v dobičku, povračila stroškov, druga dodatna plačila), poskrbeti za to, da so celotni prejemki v ustreznem sorazmerju z nalogami članov uprave in s finančnim stanjem družbe. Podatke in informacije o nagrajevanju in plačilu članov uprave pridobimo iz letnih poročil družb.Člani uprave morajo pri vodenju poslov ravnati s skrbnostjo vestnega in poštenega gospodarstvenika in varovati poslovno skrivnost družbe. Solidarno odgovarjajo družbi za škodo, ki je nastala kot posledica kršitve njihovih dolžnosti, razen če dokažejo, da so pošteno in vestno izpolnjevali svoje dolžnosti. Iz letnih poročil dobimo pojasnjeno kakšne so bile naloge in kako je bilo delo opravljeno s strani članov uprave. Samo nagrajevanje in plačilo za člane uprave je pomembno, saj jim omogoča normalno življenje in hkrati tudi vpliva na zavzetost za delo. Družbe oziroma nadzorni sveti lahko plačilo zvišujejo oziroma zmanjšujejo v nedogled ali pa tudi odvzamejo oziroma dodajo nagrado, a lahko privede le do tega, da člani ne bodo imeli zadostne zavzetosti za delo. Zato je najboljše, da ima družba oziroma nadzorni svet izoblikovan načrt. Odvisno je predvsem tudi od tega v kakšen lastništvu je družba, torej ali so sami sebi svoj lastnik ali je lastnik država. Za vsako lastništvo so določene različne zakonske omejitve in s tem tudi problem upravljanja. The company or the Supervisory Board may pay the increase or decrease indefinitely or may be withdrawn or added to the prize, but can lead only to the fact that the members will not have sufficient enthusiasm for the job. Therefore, it is best that the company and the Supervisory Board formed a plan. It depends above all of this in what the company ownership, ie whether they are themselves its owner or the owner of the country. For each ownership are subject to different legal restrictions and hence a problem of governance. |
